H.R. 1373 — Tennessee Valley Authority Transparency Act of 2025

This section establishes the short title of the Act as the “Tennessee Valley Authority Transparency Act of 2025.”

This section revises the Tennessee Valley Authority (TVA) Board’s open-meeting requirements under 5 U.S.C. § 552b (the Government in the Sunshine Act). As background, the Sunshine Act generally requires meetings of certain multi-member federal agencies to be open to public observation unless an exemption applies. Specifically, this section: 1. requires the TVA Board to meet at least 4 times each year; 2. expands the definition of “meeting” for TVA Board purposes to include all deliberations of the Board, a Board committee, and a Board subcommittee, including deliberations not scheduled to take action on official business, notwithstanding the narrower definition in 5 U.S.C. § 552b(a)(2); 3. provides that public announcement of Board meetings includes publication on the Board’s website; 4. allows the Board chairman to designate an emergency special meeting, in which case the 1-week advance public notice requirement in 5 U.S.C. § 552b(e)(1) does not apply; 5. requires the Board to publish on its website any information that must be disclosed, made available to the public, or publicly certified under 5 U.S.C. § 552b; and 6. authorizes the Board to withhold, under the Sunshine Act, information relating to (a) power availability requests and (b) contract negotiations, including labor relations and procurement actions, if disclosure would imperil or compromise the Corporation’s competitive position.
