H.R. 3323 — Helping Startups Continue To Grow Act

This section revises the definition of emerging growth company (EGC)—an issuer qualifying for scaled disclosure requirements and exemptions from certain audit, compensation, and other public company regulations—under the Securities Act of 1933 and Securities Exchange Act of 1934 as follows: (1) increases the annual gross revenues threshold to $3 billion (from $1 billion); (2) extends the maximum EGC period to the 10-year anniversary of the first sale of common equity securities pursuant to an effective registration statement (from the fifth anniversary); and (3) eliminates the accelerated filer status test as a trigger for losing EGC status. It also makes technical corrections to paragraph numbering in the Exchange Act and a cross-reference in the Securities Act.
