S. 1371 — S-CAP Act of 2025

This section increases the maximum number of shareholders for a corporation to qualify as an S corporation to 250 (from 100), for taxable years beginning after December 31, 2025. (As background, S corporations are pass-through entities under the Internal Revenue Code that avoid corporate-level taxation by passing income, losses, deductions, and credits through to shareholders for federal tax purposes.)
