S. 4107 — Antitrust Accountability and Transparency Act

This section revises Section 5 of the Clayton Act, which governs the evidentiary use of government antitrust judgments in private litigation and establishes procedures for public notice and court review of proposed consent judgments in antitrust cases brought by the United States (i.e., the Tunney Act provisions). Specifically, it (1) eliminates the prohibition on collateral estoppel for Federal Trade Commission (FTC) findings under section 5 of the FTC Act (15 U.S.C. 45) that could give rise to an antitrust claim; (2) extends consent judgment procedures to FTC administrative proceedings, with filing in the relevant district court or a district court where a defendant is incorporated or headquartered, and clarifies such courts' jurisdiction over FTC filings; (3) reduces the required publication and comment period from 60 days to 45 days in subsections (b), (c), and (d), and requires responses to comments not later than 30 days after the 45-day period closes (with reply rights for commenters); (4) requires the competitive impact statement to describe additional commitments to the United States or FTC (even if not memorialized), how the judgment remedies material antitrust risks, FTC settlement offers or divestitures, and related processes; (5) in merger cases under Clayton Act Section 7, mandates parties hold transaction-related assets separate until 15 days after the United States or FTC publishes responses to comments (with court extensions possible, expedited review, civil penalties under Section 7A(g) for violations, and expiration upon public-interest approval); (6) revises the subsection (e) public-interest standard to require the court determine, based on evidence and reasoned analysis, that the judgment remedies alleged violations, eliminates material risks of future violations, and is reasonably tailored, while authorizing evidentiary hearings (prioritizing federal or state agency requests, with intervention rights for such agencies) and clarifying that judgments take effect only upon discretionary court entry without deference to government predictions; and (7) expands subsection (f) restrictions on current or former government officials' public statements and enhances court authority to compel production of related communications, documents, testimony, or information on parties' offers of benefits or concessions to government personnel.
