S. 4170 — Regulation A+ Improvement Act of 2026

This section increases the maximum offering amount exempt from registration under Section 3(b)(2)(A) of the Securities Act of 1933 to $150 million (from $50 million), adjusted for inflation by the SEC every two years to the nearest $10,000 based on the Consumer Price Index for All Urban Consumers; it also applies this inflation adjustment to the additional amount permitted under paragraph (5). (As background, these exemptions—promulgated as Regulation A—allow smaller public offerings without full SEC registration, with Tier 2 currently limited to $75 million including up to $22.5 million in resales.)
